§ 1 Scope

(1) These Terms and Conditions apply to all contracts between realmaker – Michael Rademacher, Hofheimer Str. 31, 97437 Haßfurt, Germany (hereinafter "Provider") and the customer for the purchase and use of the software "Disclosure XML Editor".

(2) A consumer within the meaning of these Terms and Conditions is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. An entrepreneur is any natural or legal person who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

§ 2 Subject of the Contract

(1) The subject of the contract is the provision of the software "Disclosure XML Editor" for creating structured XML documents for disclosure to the German Federal Gazette (Bundesanzeiger).

(2) The software is provided as a desktop application for Windows and macOS.

(3) The scope of functions is based on the product description on the website at the time of ordering.

§ 3 Conclusion of Contract

(1) The presentation of products on the website does not constitute a legally binding offer, but an invitation to order.

(2) By submitting an order, the customer makes a binding offer to purchase.

(3) The contract is concluded when the Provider accepts the order by sending an order confirmation by email or by executing delivery.

§ 4 Prices and Payment

(1) All prices are final prices and include statutory VAT.

(2) The price for a single license is EUR 299.00 including VAT.

(3) Payment is made via PayPal. Upon completion of payment, the serial number for activating the software is sent by email.

(4) For entrepreneurs from other EU countries with a valid VAT ID, the reverse charge procedure applies.

§ 5 License and Usage Rights

(1) Upon full payment, the customer receives a simple, non-transferable right to use the software.

(2) The license entitles the user to use the software on up to two (2) devices simultaneously.

(3) The license is perpetual. The customer can use the software indefinitely.

(4) Updates for a period of 12 months from the date of purchase are included in the purchase price.

(5) It is prohibited to copy the software (except for backup purposes), distribute, rent, make publicly available or modify it.

§ 6 Activation and Devices

(1) Activation of the full version is done by entering the serial number and the email address used for the purchase in the software.

(2) During activation, a device ID is generated and stored on the license server.

(3) When changing devices, the customer can deactivate an activation via the customer portal to use it on a new device.

§ 7 Updates

(1) The customer is entitled to all available updates for 12 months from the date of purchase.

(2) After the update period expires, the software can still be used, but without entitlement to new versions.

(3) An extension of the update period can be purchased separately.

§ 8 Trial Version

(1) The free trial version allows evaluation of the functionality.

(2) In the trial version, exporting XML files and saving documents is not possible.

(3) The trial version can be used indefinitely but is not intended for productive use.

§ 9 Warranty and Liability

(1) The statutory warranty applies to defects in the software.

(2) The Provider is fully liable for intent and gross negligence as well as for damages resulting from injury to life, body or health.

(3) In case of slight negligence, the Provider is only liable for breach of essential contractual obligations and limited to foreseeable, contract-typical damage.

(4) The software assists in creating XML documents. The content accuracy and completeness of the created documents as well as timely submission to the Federal Gazette are the sole responsibility of the customer.

(5) The Provider assumes no liability for damages resulting from incorrect or late submissions to the Federal Gazette.

§ 10 Data Protection

(1) Personal data is processed in accordance with the Privacy Policy.

(2) Document content is processed exclusively locally on the customers device and is not transmitted to servers.

§ 11 Notice Regarding the Software

(1) The "Disclosure XML Editor" is an independent software product and is not affiliated with the Bundesanzeiger Verlag or the Bundesanzeiger.

(2) The term "Bundesanzeiger" is used solely in a descriptive manner.

§ 12 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered office of the Provider.

(3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
